SETTLEMENT AGREEMENT AND GENERAL RELEASE

		This Settlement Agreement and General Release is dated
as of this 4th day of January, 2000, and is by and between Barry
Jaspan, 9 Valentine Street, Cambridge, Massachusetts 02139 and
Infinity Broadcasting Corporation ("Infinity"), which owns and
operates WZLX-FM in Boston, Massachusetts-

		WHEREAS, Jaspan has commenced an action against
WZLX-FM in the Massachusetts District Court in Cambridge, thc Small
Claims Session, entitled Barry Jaspan V. WZLX-FM 100.7, (the
"Action"); and

		WHEREAS, WZLX-FM and Infinity expressly deny all
allegations of unlawful or improper conduct set forth in the
Action; and

		WHEREAS, the parties to the Action now desire to
resolve all claims, disputes, and causes of action they have or may
have against each other; without the necessity of further litigation
or proceedings; and

		NOW, THEREFORE, in consideration of the mutual
covenants and other good and valuable consideration contained herein,
the parties agree as follows:

		1.  Upon the receipt by counsel for Infinity of a
fully executed copy of this Agreement, counsel for Infinity shall
deliver to Jaspan a check in the amount of five-hundred dollars.  The
check shall be made payable to "Barry Jaspan."

		2.  In consideration for thc payment in Para 1 supra,
Jaspan agrees to discontinue the Action, including all claims asserted
therein, with prejudice and without costs to either side.

	3. (a) Jaspan, in his capacity as an individual, and on behalf
of any heirs, executors, assigns, successors, and successors in
interest (collectively, "Jaspan"), fully, irrevocably, and
unconditionally releases and discharges Infinity, as well as its past
and present parents, subsidiaries, divisions, units, stations,
officers, directors, and employees, from any and all claims, demands,
causes of action, and liabilities of any kind whatsoever, whether
contractual, tordous, common law, statutory, federal, state, local, or
otherwise, which relate to the claims that were raised or could have
been raised in the Action.

		(b) Without limiting the generality of the foregoing,
Jaspan fully, inevocably, and unconditionally releases and discharges
Infinity, as well as its past and present parents, subsidiaries,
divisions, units, stations, officers, directors, and employees,
incinding but not limited to WZLX-FM, from any and all liability
arising from the November 3, 1999 telephone call that is referred to in
the Action.

		4. This Agreement shall not be deemed an admission by
Infinity or WZLX-FM that they have committed any of the acts
complained of in the Action. To the contrary, they expressly deny that
they have committed any such acts, violated any statute, law,
regulation or ordinance, or incurred any liabilities therefor.

		5. This Agreement constitutes the complete
understanding between the parties and supersedes any and all prior
agreements between them concerning its subject mater.
